Terms and Conditions of Sale
1. ACCEPTANCE
All sales are expressly conditioned upon Buyer’s acceptance of these Terms and Conditions. Any additional or different terms proposed by Buyer are rejected unless expressly agreed to in writing by FTG, Inc
2. PRICING
All prices are in U.S. Dollars and valid for thirty (30) days unless otherwise stated. FTG reserves the right to correct clerical or typographical errors
3. PAYMENT TERMS
Net thirty (30) days, subject to approved credit. Late payments shall incur interest at 1.5% per month (or the maximum rate permitted by law). Buyer shall reimburse FTG for all costs of collection, including reasonable attorneys’ fees.
4. DELIVERY, RISK & TITLE
All shipments are FOB shipping point. Risk of loss passes to Buyer upon delivery to carrier. Title to goods transfers only upon full payment.
5. INSPECTION & CLAIMS
Buyer shall inspect all goods within ten (10) days of receipt. Any claims must be submitted in writing within such period. Failure to provide notice constitutes acceptance of the goods.
6. WARRANTY
FTG warrants its products for a period of one (1) year from the date of shipment. This warranty is void if the product is altered, dismantled, misused, abused, improperly installed, or used outside FTG specifications.
7. LIMITATION OF LIABILITY
FTG shall not be liable for any indirect, incidental, special, or consequential damages. FTG’s total cumulative liability shall not exceed the purchase price of the product giving rise to the claim. Buyer assumes all responsibility for system integration and application use.
8. APPLICATION RESPONSIBILITY
Buyer is solely responsible for determining the suitability of products for Buyer’s intended use or application.
9. INTELLECTUAL PROPERTY
All drawings, designs, and specifications remain the sole property of FTG and shall not be reproduced, disclosed, or used for any purpose other than the intended transaction without prior written consent.
10. CONFIDENTIALITY
Buyer agrees to protect FTG confidential information for a period of five (5) years and shall not disclose or use such information except as necessary for the purchase or use of FTG products.
11. FORCE MAJEURE
FTG shall not be liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, labor disputes, supply shortages, or transportation delays.
12. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of California.
13. RETURNS
All returns require prior written authorization (RMA). Non-defective returns may be subject to restocking charges. Custom or special-order products are non-returnable.
14. ORDER CANCELLATION
Orders may not be canceled or modified without FTG’s prior written consent. Custom orders are non-cancelable.
15. TAXES
Buyer is responsible for all applicable taxes, duties, and charges, excluding taxes based on FTG’s income.
16. CLAIM LIMITATION
Any claim arising from the sale must be brought within one (1) year from the date of shipment.
17. EXPORT COMPLIANCE
Buyer agrees to comply with all applicable U.S. export control laws and regulations.
18. ENTIRE AGREEMENT
These Terms constitute the entire agreement between the parties and supersede all prior agreements or understandings. No modification shall be valid unless in writing and signed by FTG.
19. ACKNOWLEDGEMENT
By placing an order with FTG, Inc., Buyer acknowledges and agrees to these Terms and Conditions of Sale.
